1. Agreement to Terms

This Terms of Service ("Terms") constitutes a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "user"), and Z0E.dev ("we," "us," or "our"), concerning your access to and use of the Z0E.dev website, applications, AI models, and other services (collectively, the "Services").

By creating an account, accessing, or using our Services, you agree that you have read, understood, and are bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

2. User Accounts and Security

  • Eligibility: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Services. By creating an account, you represent and warrant that you meet this age requirement.

  • Registration: To access most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • Account Responsibility: You are solely responsible for all activity that occurs under your account. You are responsible for safeguarding your password and agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Acceptable Use and Prohibited Activities

Your use of the Services is subject to your adherence to this Acceptable Use Policy. Any violation of this policy grants us the unilateral right to take action, up to and including the immediate termination of your account and access to the Services.

You may NOT access or use the Services for any purpose other than that for which we make the Services available. You expressly agree NOT to:

  • Illegal Activities: Use the Services to engage in, promote, or facilitate any illegal activity or to violate any applicable local, state, national, or international law or regulation.

  • Harmful Content: Generate, upload, or disseminate any content that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically, or otherwise objectionable. This includes content that promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.

  • Security Violations: Attempt to breach, disable, or circumvent any security or authentication measures of the Services. This includes probing, scanning, or testing the vulnerability of any system or network.

  • Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, algorithms, or proprietary technology of our Services and AI models.

  • Data Scraping and Extraction: Use any automated means, such as robots, spiders, or scrapers, to access, monitor, or extract data from the Services for any purpose without our express written permission.

  • Interference: Interfere with or disrupt the integrity or performance of the Services, our servers, or networks connected to the Services. This includes transmitting any worms, viruses, spyware, malware, or any other code of a destructive or disruptive nature.

  • Misrepresentation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

  • Spam and Unsolicited Communication: Use the Services to generate or send unsolicited communications, promotions, advertisements, or spam.

  • Overloading the System: Use the Services in a way that could damage, disable, overburden, or impair any of our servers, or the network(s) connected to any server, or interfere with any other party's use and enjoyment of the Services.

4. User-Generated Content and Responsibility

You are solely and exclusively responsible for all content, data, and information you submit, generate, or use in connection with the Services, including both your "Inputs" and the resulting "Outputs."

  • No Liability: Z0E.dev is a tool. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any content generated by users via the Services. You understand that by using the Services, you may be exposed to content that might be offensive, harmful, inaccurate, or otherwise inappropriate. Under no circumstances will Z0E.dev be liable in any way for any user-generated content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content generated or made available via the Services.

  • User Responsibility and Reporting of Illegal Content: Any use or reliance on any content or materials obtained by you through the Services is at your own risk. It is your responsibility to ensure that your use of the Services and any content you generate complies with all applicable laws and these Terms. Any illegal usage of the Services or the content generated thereby is FULLY PROHIBITED. You will be held solely responsible for any such illegal use. In the event that we discover or are notified of any content or activity that we believe, in our sole discretion, to be illegal, we reserve the right to report such activity to the appropriate law enforcement authorities. In connection with any such report, we will cooperate with law enforcement and may provide them with any and all information we have about you and your account, including the user information we collect as outlined in our Privacy Policy, to protect our Services, our users, and our company.

5. Intellectual Property Rights

  • Our Services: We own all right, title, and interest in and to the Services, including all associated intellectual property rights. This includes our website, software, AI models, and all content created by us. These Terms do not grant you any rights to use our branding or logos.

  • Your Content: You retain ownership of the original content you provide as Input to the Services. By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your Input as necessary to provide, maintain, and improve the Services.   • Output: We and our licensors own all right, title, and interest in and to any output, data, or content generated by the Services ("Output"). Subject to your compliance with these Terms, we grant you a worldwide, non-exclusive, royalty-free license to use the Output for any purpose, including commercial purposes.

6. Copyright Policy (DMCA)

Z0E.dev respects the intellectual property rights of others and expects its users to do the same. It is our policy to respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify our copyright agent. For your complaint to be valid under the DMCA, you must provide the required information in writing. Contact legal@z0e.dev for our designated agent and notice requirements.

7. Payments, Subscriptions, and Refunds

  • Payments: You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.

  • Subscriptions: If you purchase a subscription, it will automatically renew for successive periods unless you cancel your subscription prior to the renewal date. You can cancel your subscription at any time through your account settings.

  • NO REFUNDS POLICY: All payments are final and non-refundable. There will be no refunds or credits for partially used periods, subscription downgrades, or for periods unused with an open account. Upon any termination of your account, you will not be entitled to any refund of any prepaid fees or other payments

  • Justification for No Refunds: The reason we do not allow refunds is because, as an AI company, we incur immediate and ongoing costs through the use of third-party API keys and compute infrastructure. Refunded payments result in direct financial losses, making it unsustainable to offer refunds.

8. Termination

We reserve the right, in our sole and absolute discretion, to suspend, restrict, or terminate your access to all or any part of the Services at any time, for any or no reason, with or without prior notice, and without liability.

Any activity that violates these Terms, is deemed suspicious, or is potentially harmful to our Services, our infrastructure, or our community, will result in the immediate and permanent termination of your account and a permanent ban from using our Services. Such actions may include reporting your activities and providing your information to law enforcement authorities.

Upon termination of your account for any reason, all licenses and rights granted to you in these Terms will immediately cease. You will not be entitled to any refund of any fees paid.

9. Disclaimers and Limitation of Liability

  • Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

  • Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL Z0E.DEV, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) your content; (3) your breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; or (5) your violation of the rights of a third party.

11. Dispute Resolution by Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.

  • Agreement to Arbitrate: You and Z0E.dev agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") will be resolved by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

  • Class Action Waiver: YOU AND Z0E.DEV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. Governing Law

These Terms and your use of the Services are governed by and construed in accordance with the laws of the jurisdiction in which Z0E.dev is established, without regard to its conflict of law principles.

13. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire and exclusive understanding and agreement between Z0E.dev and you regarding the Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Z0E.dev and you regarding the Services.

  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

  • Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this site and updating the "Last Updated" date. You are advised to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page. Your continued use of the Services after the posting of revised Terms means that you accept and agree to the changes.
